These Terms of Service constitute a legally binding agreement between you and Lotus Digital Inc., a Delaware corporation ("lastpack," "we," "us," or "our"), governing your access to and use of lastpack, including our website, web application, account system, Pack-opening experiences, Stash, shipping, buyback, rewards, and related services, collectively, the "Service."

By accessing or using the platform, making a purchase, connecting your wallet, or using any of our other services, you expressly acknowledge and agree that you have read, understand, and agree to be bound by this Agreement. If you do not agree to the terms set forth in this Agreement, you must not access or use our Website or any service, including to purchase any items from lastpack.

THESE TERMS INCLUDE A BINDING ARBITRATION AGREEMENT, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS. SEE SECTION 11.

(1) You will only be permitted to pursue claims against lastpack on an individual basis, not as a class member in any class or representative action or proceeding, (2) you will only be permitted to seek relief on an individual basis, and (3) you are agreeing to mandatory individual arbitration for the resolution of disputes and waiving your right to a jury trial on your claims.

You agree that you have reviewed our responsible purchasing policy and will take action to limit your purchasing and to otherwise seek assistance if you are unable to use this application responsibly. Please refer to our Privacy Policy for information about how we collect, use and share personal information about you. By submitting data through the Service, you expressly consent to the collection, use and disclosure of your personal data in accordance with the Privacy Policy.

lastpack reserves the right to change or modify this Agreement at any time and in our sole discretion. If we make changes to this Agreement, we will provide notice of such changes, such as by sending an email notification, providing notice through the Service or updating the "Last Updated" date at the beginning of these Ts&Cs. By continuing to access or use the Service at any point after such update, you confirm your acceptance of the revised Ts&Cs and all of the terms incorporated therein by reference. We encourage you to review this Agreement frequently to ensure that you understand the terms and conditions that apply when you access or use the Service. If you do not agree to the revised Agreement, you may not access or use the Service.

lastpack sells digital purchase experiences for Packs containing randomized collectible Items (such as trading cards). When you buy a Pack, you get whatever Items the randomization assigns from a defined pool — not a specific Item.

Odds change in real time as inventory is purchased and opened. Displayed ranges are accurate at the moment shown, but distributions within a range are unlikely to be equal.

Animations, wheels, and reveal effects are entertainment only. The only inputs that affect what you get are: the Pack you select, the rarity tier (if offered), and your purchase confirmation. They do not affect the Item assigned, the rarity tier, the odds, the FMV, or any buyback offer.

Results are determined entirely by chance. No specific outcome is guaranteed. lastpack does not guarantee any minimum value, rarity, or return on any Pack purchase.

Items may be worth less than the Pack price. Do not treat Packs as an investment.

The Service is intended for collectible commerce and entertainment. lastpack does not offer casino games, sports betting, lotteries, or wagering. Packs assign collectible Items, not cash prizes. Any buyback feature, if offered, is a separate optional purchase offer from lastpack and may be changed, paused, limited, or discontinued as provided in these Terms.

We may change or discontinue the Service, Packs, or features at any time.

In order to use the platform, you must register for an account with lastpack and provide certain information about yourself as prompted by the registration platform. By creating an account, you represent and warrant that:

(i) all required registration information you submit is truthful and accurate;

(ii) you will maintain the accuracy of such information at all times;

(iii) you meet the following account eligibility criteria:

You are only allowed one account per person. We may require identity verification (KYC), including a government ID and live selfie, before you add Purchase Funds, purchase, ship, or request Cash Out.

You're responsible for your account credentials. Tell us at [email protected] right away if your account is compromised.

We may restrict, block, or limit access to the Service in any state, territory, country, or jurisdiction at any time. You may not use a VPN, proxy, remote desktop, false address, false phone number, or other method to evade location, identity, age, sanctions, or eligibility checks.

lastpack reserves the right to verify the eligibility of any user at any time, during or after account creation, including by asking the user to provide identification or verify the user's age and/or physical location, including the uploading of a government issued identification card and a "live" recording that matches such identification. If you do not provide accurate eligibility information, or if lastpack cannot reasonably verify your eligibility information as accurate, lastpack may suspend or terminate your lastpack account and you agree that you forfeit any balance associated with your lastpack Account, if any. lastpack may suspend or terminate your lastpack account as provided in this Agreement, regardless of whether you meet the eligibility criteria provided herein.

You may delete your lastpack Account at any time, for any reason, through the website or by sending an email request to [email protected]. Before deleting your account, you are responsible for cashing out any Eligible Sale Proceeds and selling or shipping all Inventory in your account. Purchase Funds are not eligible for Cash Out and must be used before deletion unless a refund is required by applicable law or approved by lastpack. lastpack is not responsible or liable for any loss of value or failure to cash out Eligible Sale Proceeds resulting from termination or deletion of your account.

Each user is responsible for maintaining the confidentiality of the user's lastpack account login information and each user shall be fully responsible for all activities that occur under the user's lastpack account.

Each user, by creating an account, authorizes lastpack to contact the user electronically by phone, email, text message, notification, or other electronic means in order to: (i) confirm information about the user; (ii) confirm information submitted by you; (iii) resolve customer support issues; (iv) request information about the user's use of the Platform; (v) provide account status information to the user; or (v) take any action in furtherance of this Agreement. This authorization will continue for the term of this Agreement.

Subject to the terms of this Agreement, lastpack grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Platform for your own personal use in accordance with this Agreement. For the avoidance of doubt, your use of any software made available by lastpack in connection with your access to and use of the Platform shall be limited to use of the executable object code format only.

Specifically, and without limitation, your access to, or attempt to access, any source code of the Platform, back-end systems or databases, or to manipulate the software or its communications in any way to cheat, or obtain other benefit, or for any other unauthorized purpose shall be a basis for immediate termination of your lastpack Account.

The rights granted to you in the Agreement are subject to the following rules for acceptable use and restrictions: (a) you shall not access or use the Platform for any purpose other than that for which lastpack makes the Platform available - namely the Services; (b) you shall not use the Platform in connection with any commercial endeavors except those that are specifically endorsed or approved by lastpack, including to advertise or offer to sell any goods or services on the Platform or to collect usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email; (c) except as expressly permitted by lastpack in advance in writing, you shall not license, sell, rent, lease, transfer, assign, distribute, or host the Platform to or for a third party; (d) you shall not trick, defraud, or mislead lastpack or other users, especially in any attempt to learn sensitive account information, such as user passwords; (e) you shall not attempt to impersonate another user or person or use the username of another user; (f) you shall not use any information obtained from the Platform in order to harass, abuse, or harm another person; (g) you shall not sell or otherwise transfer your lastpack Account; (h) you shall not make improper use of our support services or submit false reports of abuse or misconduct; (i) you shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Platform; (j) you shall not circumvent, disable, or otherwise interfere with security-related features of the Platform; (k) you shall only use payment methods for which you are the account holder; (l) You shall not threaten, harass, defame, abuse, or impersonate lastpack, its employees, contractors, vendors, or other users; (m) except as may be the result of standard search engine or Internet browser usage, you shall not engage in any automated use of the Platform; (n) you shall not interfere with, disrupt, or create an undue burden on the Platform; (o) you shall not upload or transmit viruses, Trojan horses, or other malicious material; (p) you shall not harass, annoy, intimidate, or threaten any lastpack employee or agent; (q) your use of the Platform shall at all times comply with all applicable laws and regulations; and (r) all copyright and other proprietary notices included within the Platform must be retained and not modified or obscured.

lastpack reserves the right, at any time, to modify, suspend, or discontinue the Platform, including the Website or Services, or any part thereof, with or without notice. You agree that lastpack will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Platform, or any part thereof. Any future release, update, or other addition to functionality of the Platform shall be subject to the terms of this Agreement.

Excluding User Data (as defined below), you acknowledge that all intellectual property rights in and to: (a) the Platform; (b) all names, logos and trademarks used with the Platform; and (c) all content made available by lastpack through the Platform are owned by lastpack or lastpack licensors. The provision of the Platform does not transfer to you or any third party any rights, title, or interest in or to such intellectual property rights. lastpack and its licensors reserve all rights not granted in this Agreement.

lastpack may allow a user to accomplish one or more of the following: (i) purchase physical collectible items directly; (ii) purchase physical collectible items in "blind box" form; (iii) track their inventory of collectible items purchased from lastpack (the "Stash"); (iv) have lastpack maintain their physical collectible item in storage; (v) have their Stash shipped to them.

lastpack may make available certain physical goods available on its marketplace for purchase. You may purchase such items. ALL PURCHASES ARE FINAL AND NON-REFUNDABLE. THERE ARE NO RETURNS once an item is purchased except as expressly allowed under these Terms of Use. Upon purchase your account will be credited with the item and it will be shown in the user's Stash. You will have a period of time, indicated in the Stash tab, in which to return any of your items in your Stash to lastpack for the Fair Market Value (FMV), as defined below, after the expiration of such time you agree that such Inventory will be automatically sold back to lastpack at the Fair Market Value locked at the time of your purchase. You may also choose to ship any of your Stash to you, at that time the sale of the Stash will be deemed completed and if you are located in a jurisdiction that requires the collection of sales tax you agree to pay the amount of sales tax due, which will be collected prior to any shipment of your physical collectible to you.

lastpack may make available "blind box" or other collectible pack purchases (a "Pack"). In each case, the type of product that you are purchasing and other information related to the pack, such information at a minimum to be: (i) the producer of the collectible; (ii) the series or type of collectible included in the pack; (iii) the cost of purchase; (iv) the number of collectibles included in such pack, though lastpack may add additional collectibles as marketing bonuses in its sole discretion "Promotional Items", such Promotional Items will not vary the underlying primary item or its likelihood of being obtained where such statistical information is provided.

Additional information may be provided such as: (i) the chance the card is of a certain Fair Market Value (where such Fair Market Value is based upon lastpack's determination of Fair Market Value in its reasonable discretion as described in Section 4.4, below); (ii) the chance of a rarity and the scale on which such rarity is based; (iii) the "grade" of the collectible.

ALL STATISTICS RELATED TO EACH PACK PURCHASE MAY VARY BETWEEN ANY GIVEN PACK. THE STATISTICS WILL CHANGE IN REAL TIME BASED ON AVAILABLE INVENTORY. ALL STATISTICAL RANGES PROVIDED ARE ACCURATE AT THE TIME THEY ARE PROVIDED - THOUGH SUBJECT TO CHANGE - BUT THE DISTRIBUTION BETWEEN RANGES MAY NOT (AND IS LIKELY NOT TO BE) EQUAL.

ALL PACK PURCHASES ARE FINAL AND NON-REFUNDABLE. Upon the purchase of the pack your account will be credited with the item selected from the inventory, as discussed in section 4.3, below, and it will be shown in your "Stash", however, no sale of the item has occurred and title to the item will not pass to you until the following occurs: (i) you request that the item be shipped to you; (ii) you pay any applicable sales tax associated with the shipment of the item; (iii) the item is found in the lastpack inventory (for treatment of lost items please review Section 4.7); (iv) your account has not been banned, blocked, or otherwise terminated; (v) you have passed our KYC process; (vi) the packaged item is accepted by the carrier; and (v) the packaged item is properly addressed to the address you provided to lastpack, the completion of these requirements being a "Sale". Until a Sale occurs any loss, mislabeling, damage, destruction, or other issues (excepting a terminated or banned account) may only be remedied through the crediting of the FMV of the item to you (as FMV is defined in Section 4.4, below).

Each Pack may have its own price, Item pool, odds, rarity tiers, quantity limits, expiration, buyback availability, storage period, shipping eligibility, and special rules. Pack-specific terms displayed on the Pack page are incorporated into these Terms. If Pack-specific terms conflict with these Terms, the Pack-specific terms control for that Pack unless otherwise stated.

The collectibles you have the ability to request shipment on will be shown in your "Stash" tab in your user account. In the event of any loss of your Stash, lastpack will provide the FMV, as defined below, of such collectibles at the time of such loss to you by crediting your account.

YOU MAY ONLY STORE A COLLECTIBLE FOR A MAXIMUM OF SEVEN (7) DAYS FROM THE DATE OF PURCHASE. THIS IS A STRICT DEADLINE — PLAN ACCORDINGLY. Any collectible that has remained in storage for five (7) days or greater will be automatically considered a "Return" at the Company's sole discretion and your collectible will be automatically sold back to lastpack and your account credited the FMV as determined at the time of your purchase. The Company may also text you in the event that a collectible in your inventory is subject to repurchase by the Company, you specifically agree to receive such text notifications relating to your inventory. The Company may extend such deadline in its sole discretion.

lastpack uses realtime sales statistics to determine the fair market value (the "FMV") of the collectibles for purposes of identifying the expected value of such collectible for purposes of any metrics made available to you prior to purchase; for purposes of any offer to purchase from you a collectible you own, and to value your Stash in the event of a loss.

The FMV that lastpack uses may not match published market values. lastpack uses a proprietary system to generate its FMV that may take into account, but is not limited to the following (the "FMV Factors"): (i) the rarity; (ii) previous sales; (iii) previous sales of similar items; (iv) the difficulty in time and expenses and risk of purchasing a similar collectible item; (v) general market dynamics relevant to the specific collectible or type of collectibles; (vi) professional grading scores and encapsulation / packaging status; (vii) provenance, history, additional features, or modifications of a specific collectible; (viii) authenticity certainty level; (ix) average time-to-sale for similar items; (x) signatures or other similar additions to the collectibles and their rarity, certainty related to authenticity, and other features related specifically to such signatures or markings.

The FMV used by lastpack is subject to change at any time and lastpack makes no representation that any FMV will remain stable or that the weight and use of any FMV Factors will remain unchanged.

Before shipment is completed, lastpack may offer to buy back an Item displayed in your Stash. Buyback offers are optional unless otherwise stated, may change or expire at any time, and are final once accepted. All acceptances of buyback offers to lastpack are final. Upon selling back to lastpack your lastpack Account will be credited the FMV of the collectible such credit to be in the form of additional pack purchase credits denominated as outlined in Section 4.2, above.

You agree that lastpack is under no obligation to: (i) offer a buyback of the collectible; (ii) maintain an open buyback window whether or not previously displayed, and that such buyback offers may be terminated by lastpack at any time; (iii) collect or remit taxes on your behalf absent the completion of a Sale.

A user may ship a collectible from Inventory. Prior to shipping any collectible a user will be required to pay any sales tax applicable based on the location used for shipping, and must not have violated any term of this Agreement. A user may select the shipping service from those available for servicing their desired shipping address, provided the user is located in a country that is not sanctioned or embargoed by the United States. If you do not receive a notification of shipping within five (5) business days please contact customer support. In all cases the User will be responsible for the cost of shipping and the cost of tracking the package, which may be required. A user may be provided the ability to insure any shipment. You may be required to purchase insurance on any shipment in excess of $100 which a user will be responsible for paying. If insurance is required the Company will make it available without markup. You agree that the Company has no liability for any package is lost in transit. We recommend that if available you purchase insurance at the time of shipment. At this time, the Company does not offer combined inventory shipments, and each individual collectible must be shipped separately.

You must notify lastpack within ten (10) days of delivery of any shipping error by messaging customer support using the in-app messaging feature. If you do not notify lastpack within ten (10) days you agree that you have accepted the shipment received by you as fully satisfying the inventory transfer made on the lastpack website.

The 5 business-day arrival from getting tracking is an estimation; shipping delays can still occur due to carrier issues. lastpack reserves the right to change shipping terms as needed.

If your physical Inventory held by the Company is lost, stolen, or destroyed, the Company will notify you and credit your account in an amount equal to the FMV of your Inventory at the time of such loss as indicated by your Inventory values in your Inventory account at such time. You take the risk of any changes in the FMV in the event of such loss.

In the event that a requested item is not available for shipment, lastpack may, in its sole discretion: (i) credit you with the FMV of the collectible at such time that shipping is requested plus ten (10%); or (ii) purchase and ship an equivalent replacement collectible having materially similar characteristics. lastpack will notify you if this occurs and which of the foregoing options it has selected. You agree that you take the risk for any change in FMV prior to requesting shipping.

Unless a card is specifically identified as a grade, or if it is marked as "raw", or if a Pokemon card is not displayed in a PSA marked case, such card is being sold as a "raw" / ungraded collectible. We strive to maintain all "raw" / ungraded collectibles inventory in "Good" or better condition, however, with respect to "raw" / ungraded collectibles there is no guaranty of the condition. If you choose to ship a "raw" / ungraded collectible to you it is being sold "as-is" with no guaranty of condition. If you do not want to take such risk you may, in accordance with these terms, sell the raw collectible to us at the FMV, when offered.

Various in-app mechanisms and animations may provide user interfaces to card selectors, or other user-based inputs ("Non-Purchase Interfaces"). Examples of Non-Purchase Interfaces include the spinning card wheel selector. The only user-based inputs that affect the card purchase are the selection of the card pack, the rarity selector if made available, and the purchase confirmation. The Non-Purchase Interfaces are provided for entertainment value only and do not affect purchase or collectibles outcomes.

Reserved for a forthcoming feature. Terms governing this feature will be added here before it becomes available.

We will make commercially reasonable efforts to display and explain all applicable fees in connection with the use of the Platform, including all applicable shipping fees. Our fees and payment policy may change at any time and from time to time in our sole discretion. As provided above, we contract with one or more third parties to facilitate the processing of fees and payments.

Payments, refunds, credits, withdrawals, identity checks, and fraud reviews may be processed by third-party providers. We are not responsible for delays, declines, holds, freezes, reversals, clawbacks, outages, limits, or compliance reviews imposed by banks, card networks, payment processors, crypto processors, KYC vendors, wallet providers, carriers, or other third parties.

Amounts paid to lastpack for use through the Service are purchase funds (“Purchase Funds”) provided solely to purchase Packs, collectibles, and other merchandise offered through the Service. lastpack does not offer a custodial account or accept or hold customer funds for safekeeping, investment, transmission, or withdrawal on demand. Purchase Funds are not deposits, stored value, or customer assets held in custody.

Purchase Funds are non-transferable and may not be cashed out, withdrawn, or redeemed for cash. Except where applicable law requires otherwise, Purchase Funds are non-refundable. Any refund approved by lastpack will ordinarily be returned to the original payment method rather than paid through the Cash Out feature.

You may add Purchase Funds only after lastpack has verified that you are located in an eligible region and you have accepted this Agreement, including our Privacy Policy. You may add Purchase Funds only from a payment account, payment card, or digital wallet that you own or control. You may not use a payment method belonging to another person or add Purchase Funds on another person’s behalf.

Cash Out is limited exclusively to “Eligible Sale Proceeds,” meaning amounts owed after lastpack completes a bona fide purchase of an eligible collectible Item from you. Eligible Sale Proceeds represent payment for merchandise purchased by lastpack from you and are separate from Purchase Funds. Adding Purchase Funds or purchasing a Pack does not itself create any right to Cash Out. The following terms apply to Cash Out requests:

(a) lastpack, in its sole discretion, may limit you to no more than $10,000 in Eligible Sale Proceeds during any single period of seven (7) consecutive days.

(b) You are responsible for ensuring that the payout account, digital wallet, or other Cash Out method belongs to you, can receive the requested payout, and can cover any applicable third-party fees.

(c) Each Cash Out request is subject to the minimum amount, processing time, availability, fees, and other limits displayed through the Service when the request is made.

(d) You are solely responsible for reporting and paying any taxes applicable to your purchases, sales of Items, Eligible Sale Proceeds, or completed Cash Out transactions.

(e) Completed Cash Out transactions are final and cannot be reversed by lastpack.

ALL PURCHASES ARE FINAL AND NON-REFUNDABLE ONCE OPENED OR ASSIGNED. NO REFUNDS WILL BE ISSUED UNLESS REQUIRED BY APPLICABLE LAW OR RESULTING FROM A VERIFIED LASTPACK ERROR.

All Purchases are final and binding. lastpack will issue refunds only for a verified lastpack error, when required by applicable law, or when lastpack otherwise approves a refund in its sole discretion. Any refund will ordinarily be returned to the original payment method rather than made available through Cash Out. A refund is not Eligible Sale Proceeds.

lastpack may review and modify the fees charged and payments made in any transaction, and reimburse such amounts in its sole discretion, based on any complaint or report of special circumstances concerning a transaction.

lastpack may also provide customer retention incentives whereby lastpack provides some benefit to a customer in excess of what the customer would have received or been charged for retention, marketing purposes, or testing purposes (the "Marketing Incentives"). The Marketing Incentives may include, but are not limited to: (i) removing or reducing the fees charged for any service; (ii) providing rewards program credits that may be based on certain actions, such as opening the application each day, purchasing packs, number of packs shipped or other actions, which when a specifically identified threshold has been met may provide a Marketing Incentive or other benefit (a "Reward Program"). You agree and acknowledge that lastpack may provide you with Marketing Incentives, may terminate such Marketing Incentives without notice at any time, and that lastpack may terminate any Reward Program at any time without compensation for any credits granted.

Lastpack may offer referral codes, referral links, invite codes, affiliate codes, creator codes, or similar promotional programs from time to time (collectively, "Referral Programs"). Referral Programs are promotional features, not guaranteed entitlements. Eligibility, qualifying actions, reward amounts, slot counts, invite-code quotas, expiration dates, limits, and other program rules may be displayed in the Service, in program-specific terms, or communicated by Lastpack.

Referral Program benefits may include Account Credits, locked bonus credits, rewards, discounts, access, points, XP, or other promotional benefits. Unless Lastpack expressly states otherwise in a written affiliate agreement, Referral Program benefits are not cash, have no cash value, are non-transferable, and may not be sold, assigned, traded, bartered, or exchanged.

You may not abuse, manipulate, or misuse any Referral Program. Prohibited conduct includes self-referrals; creating or operating multiple accounts; using fake, misleading, stolen, synthetic, or unauthorized account information; using bots, scripts, automation, paid click farms, or deceptive traffic; buying, selling, or trading codes; spamming; sending unlawful or unsolicited messages; misrepresenting Lastpack, Pack odds, expected values, rewards, or your relationship with Lastpack; or attempting to obtain benefits contrary to the intent of the program.

If you share a referral link, invite code, affiliate code, creator code, endorsement, review, social post, stream, advertisement, or other communication and you receive, may receive, or expect to receive any benefit from Lastpack, you must clearly and conspicuously disclose that connection wherever required by law, platform rules, or good advertising practice. Your statements about Lastpack must be truthful, not misleading, and limited to your honest experience. You may not imply that you are employed by, sponsored by, or authorized to bind Lastpack unless Lastpack has expressly approved that relationship in writing.

Lastpack may approve, reject, limit, suspend, disable, claw back, reverse, void, expire, or deny any Referral Program code, account, attribution, reward, payout, credit, or benefit at any time if Lastpack believes, in its sole discretion, that the activity is fraudulent, abusive, suspicious, unlawful, ineligible, technically erroneous, associated with a restricted jurisdiction, contrary to program intent, or otherwise violates these Terms, our AML and Prohibited Use Policy, or applicable law.

Lastpack may modify, pause, suspend, or terminate any Referral Program at any time, with or without notice, including by changing reward amounts, qualification thresholds, payout methods, eligible users, eligible locations, code availability, or redemption rules. Codes and offers are void where prohibited.

Users should store all transactions records and a copy of the lastpack policies and rules, including a copy of this Agreement and the Privacy Policy.

The following is a non-exhaustive list of prohibited conduct: (a) utilizing a virtual private network (VPN); (b) not providing or maintaining accurate information within a lastpack Account (including using fake phone numbers); (c) opening or operating more than one lastpack Account; (d) conducting or attempting to conduct fraudulent financial transactions through the Platform (including fraudulent payment card charge-backs and other transactions); (e) exploiting an error in the Platform that is not in accordance with the intent indicated or in good faith; (f) using a jailbroken device or any device with software not intended to run on the device which the platform is running on; (g) using phone numbers for account creation or referral that are not issued by a cell phone provider and linked to a single device or subscriber identity module (SIM) card.

Where lastpack determines, in its sole discretion, that a user has breached this Agreement: (a) lastpack may suspend and/or terminate the user's lastpack Account; (b) lastpack may temporarily or permanently ban the user from the Platform; (c) lastpack may take any further action, including but not limited to legal action; (d) If we cannot verify your eligibility or identity, we may suspend or restrict your account, prevent further purchases, block shipments or withdrawals, cancel pending transactions, and require additional information. Subject to applicable law, we may return, refund, credit, remit, hold, or otherwise dispose of funds or Items in a commercially reasonable manner; (e) If a payment is reversed, disputed, charged back, clawed back, or later determined to be unauthorized or fraudulent, we may suspend your account, cancel pending purchases, void Pack outcomes, cancel shipments, reverse credits, offset amounts owed against your balances or Items, and require repayment before restoring access.

You agree to indemnify and hold lastpack and its affiliates, and its and their directors, officers, members, principals, owners, employees, agents, representatives, contractors, successors, and assigns, harmless from any and all losses, damages, liabilities, claims, actions, judgments, awards, penalties, fines, costs and/or expenses (including reasonable attorneys' fees) arising from or relating to any claim or demand made by any third party due to or arising out of (i) your use or misuse of the Platform; (ii) your User Data; (iii) your violation of this Agreement; or (iv) your violation of applicable laws or regulations. lastpack reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of lastpack. lastpack will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

YOU EXPRESSLY AGREE THAT ACCESS TO AND USE OF THE PLATFORM IS AT YOUR SOLE RISK. THE PLATFORM IS PROVIDED ON AN "AS IS" AND AN "AS AVAILABLE" BASIS. LASTPACK DOES NOT MAKE, AND HEREBY DISCLAIMS, ANY REPRESENTATIONS OR WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY. LASTPACK MAKES NO REPRESENTATION OR WARRANTY THAT ANY MATERIAL, CONTENT, PRODUCTS, OR SERVICES DISPLAYED ON OR OFFERED THROUGH THE PLATFORM ARE ACCURATE, COMPLETE, APPROPRIATE, RELIABLE, OR TIMELY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, IN SUCH JURISDICTIONS AND ONLY TO THE EXTENT DISALLOWED THIS DISCLAIMER WILL NOT APPLY.

To the maximum extent permitted by applicable law, in no event shall lastpack or any of its affiliates or suppliers be liable to you for any indirect, special, incidental, exemplary, punitive, or consequential damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF LASTPACK AND ITS AFFILIATES AND SUPPLIERS TO YOU EXCEED THE GREATER OF (A) THE AMOUNT OF FEES PAID OR PAYABLE TO LASTPACK BY YOU UNDER THIS AGREEMENT, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

EACH TIME YOU ACCESS THE PLATFORM, YOU EXPRESSLY RELEASE ANY AND ALL CLAIMS YOU HAVE AGAINST LASTPACK. SUCH RELEASE INCLUDES A WAIVER UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA.

Subject to this Section, this Agreement will remain in full force from the date you agree to it until such time as it is terminated. We may (a) suspend your rights to use the Platform (including your lastpack Account), (b) terminate this Agreement, and/or (c) ban you from the Platform at any time and for any reason whatsoever, at our sole and complete discretion. Upon termination of this Agreement, your lastpack Account and right to access and use the Platform will terminate immediately. lastpack will not have any liability whatsoever to you for any termination of this Agreement, including for termination of your lastpack Account or deletion of your User Data.

IMPORTANT: THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. YOU MAY OPT OUT OF ARBITRATION BY SENDING WRITTEN NOTICE TO [email protected] WITHIN 30 DAYS OF FIRST USING THE SERVICE. SEE SECTION 11.7.

Please read carefully the following arbitration agreement ("Arbitration Agreement"). It requires you to arbitrate disputes with lastpack and limits the manner in which you can seek relief from us.

lastpack and you each agree that any dispute, claim, or request for relief relating in any way to your access or use of the Service, to any products sold or distributed through the Service, or to any aspect of your relationship with lastpack or its suppliers, partners, or agents, will be resolved by binding arbitration, rather than in court, except that (a) you may assert claims or seek relief in small claims court if your claims qualify; and (b) you or lastpack may seek equitable relief in court for infringement or other misuse of intellectual property rights. This Arbitration Agreement shall apply, without limitation, to all disputes or claims and requests for relief that arose or were asserted before the effective date of this Agreement or any prior version of this Agreement.

The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement. To begin an arbitration proceeding, you must send a letter requesting arbitration and describing your dispute or claim or request for relief to us at [email protected]. The arbitration will be conducted by JAMS. Disputes involving claims under $250,000 shall be subject to JAMS's Streamlined Arbitration Rules; all other disputes shall be subject to JAMS's Comprehensive Arbitration Rules and Procedures. If JAMS is not available to arbitrate, the parties will select an alternative arbitral forum. lastpack will pay JAMS fees if you cannot afford them. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

The arbitrator shall have exclusive authority to determine the scope and enforceability of this Arbitration Agreement and to resolve any dispute related to its interpretation, applicability, or enforceability. The arbitrator will decide the rights and liabilities, if any, of you and us. The arbitration proceeding will not be consolidated with any other matters or joined with any other cases or parties. The award of the arbitrator is final and binding upon you and us.

All arbitration proceedings, including any awards, shall remain confidential. Neither party may disclose the existence, content, or results of any arbitration without the prior written consent of the other party, except as required by applicable law or to enforce an award.

YOU AND LASTPACK HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. You and we are instead electing that all disputes, claims, or requests for relief shall be resolved by arbitration under this Arbitration Agreement.

ALL DISPUTES, CLAIMS, AND REQUESTS FOR RELIEF WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS OR COLLECTIVE BASIS, ONLY INDIVIDUAL RELIEF IS AVAILABLE, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION (INCLUDING ANY ACTION UNDER THE PRIVATE ATTORNEYS GENERAL ACT OR SIMILAR STATUTE), OR MULTI-PARTY CLAIM AGAINST LASTPACK. YOU ALSO WAIVE ANY RIGHT TO BRING CLAIMS ON BEHALF OF OR FOR THE BENEFIT OF ANY THIRD PARTY.

You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out to [email protected] within thirty (30) days after first becoming subject to this Arbitration Agreement. Your notice must include your name and address, your username (if any), the Wallet address used to connect to the Service (if you have one), and an unequivocal statement that you want to opt out of this Arbitration Agreement. If you opt out of this Arbitration Agreement, all other parts of this Agreement will continue to apply to you.

Except as provided in Section 11.6, if any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect. This Arbitration Agreement will survive the termination of your relationship with us.

Notwithstanding any provision in this Agreement to the contrary, we agree that if we make any future material change to this Arbitration Agreement, you may reject that change within thirty (30) days of such change becoming effective by writing us at [email protected].

You consent to receive electronically any agreements, notices, disclosures, and other communications to which this Agreement refers including, without limitation, by e-mail or posting information and materials online at the Website. You agree that all Notices that we provide to you electronically satisfy any legal requirements that such communications be in writing.

lastpack will make reasonable efforts to keep the Platform operational. However, certain technical difficulties, routine maintenance/upgrades and other events outside the control of lastpack may, from time to time, result in temporary interruptions to the Platform. lastpack reserves the right at any time and from time to time to modify or discontinue certain functions of the Platform, with or without notice.

You acknowledge and agree that lastpack will have no obligation to provide you with any support or maintenance in connection with the Platform.

You agree that lastpack may modify this Agreement at any time by adding new terms or by deleting or amending existing terms. We will make our best efforts to provide notice of material changes, such as by email or through the Platform. Such modifications will be effective as of the date that the updated terms are posted on lastpack website or through the Platform ("Effective Date"). We may require you to affirmatively re-accept the updated Agreement before continuing to use the Platform. Your continued access to and use of the Platform after the Effective Date constitutes your acknowledgment of such modifications and your agreement to abide, and be bound, by the Agreement as modified. If you do not accept such modification(s), then you must stop using the Platform.

Access to and use of the Platform are unauthorized in any jurisdiction that does not give effect to all provisions of the Agreement.

Unless otherwise explicitly stated, all marketing or promotional materials found on or accessible through the Platform are solely directed to individuals located in the locations in which such services are allowed. lastpack reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product, or service to any person or geographic area. Any offer for any feature, product, or service made on or through the Platform is void where prohibited.

This Agreement constitutes the entire agreement between you and us regarding the use of the Platform. Our failure to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. The section titles in this Agreement are for convenience only and have no legal or contractual effect. If any provision of this Agreement is held to be invalid or unenforceable, the other provisions will be unimpaired and the invalid provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. This Agreement, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without lastpack prior written consent. In the event of a software error, technical glitch, or system malfunction that results in an incorrect outcome, display, price, credit, or transaction, lastpack reserves the right to correct or void the affected transaction, adjust account balances, and take any other remedial action in its sole discretion, regardless of whether the error was apparent at the time of the transaction.

The Company may, at its sole discretion, grant promotional platform points ("Rewards", "Points", "XP") to users for certain activities on the platform. Points are provided solely as promotional incentives intended to encourage user engagement with the platform.

Rewards have no monetary value, are not directly redeemable for cash, and do not constitute stored value, property, or a financial instrument. Rewards may only be used within the platform in accordance with promotional redemption opportunities made available by the Company. However, if a Reward results in, includes, or is validly redeemed for an eligible collectible Item and lastpack later completes a bona fide purchase of that Item from you, the resulting amount owed for the Item may become Eligible Sale Proceeds and may be cashed out, subject to any applicable turnover, eligibility, review, or program restrictions.

Rewards are non-transferable, may not be sold, exchanged, assigned, or transferred between users, and may only be used by the account to which they were issued. The Company does not guarantee that Rewards will always be redeemable for any particular item, product, or service.

The Company reserves the right, at its sole discretion, to modify, suspend, limit, or terminate the Rewards program at any time, including the ability to adjust Rewards balances, impose expiration dates, limit redemption opportunities, or discontinue redemption options without prior notice.

Rewards may expire or be forfeited at the Company's discretion, including in cases of inactivity, program changes, or violation of platform policies.

lastpack is not affiliated with, endorsed by, sponsored by, or approved by The Pokemon Company, Nintendo, Game Freak, Creatures Inc., PSA, CGC, Beckett, eBay, Card Ladder, TCGplayer, or any other third-party brand, marketplace, grading company, or rights holder. All trademarks, logos, product names, card names, character names, and brand names are the property of their respective owners and are used only to identify collectible products.
